Thank you for your interest in contributing to IronForge ("the Project"), maintained by Steel-Tech / StructuPath ("Licensor").
This Contributor License Agreement ("Agreement") clarifies the rights granted by you ("Contributor") to Licensor. It protects Contributor, Licensor, and downstream users. It does not change your rights to use your own contributions for any other purpose.
By leaving a comment stating I have read the CLA Document and I hereby sign the CLA on a pull request you open to this repository — or by
otherwise contributing code, documentation, data, or other materials
("Contribution") — you agree to the terms below.
You grant Licensor, and to recipients of software distributed by Licensor, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contribution and such derivative works.
You grant Licensor, and to recipients of software distributed by Licensor, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where such license applies only to those patent claims licensable by you that are necessarily infringed by your Contribution alone or by combination of your Contribution with the Project.
If any entity institutes patent litigation against you or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution, or the Project to which you contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Project shall terminate as of the date such litigation is filed.
You acknowledge that IronForge is distributed under a dual-license model:
- AGPL-3.0 (the GNU Affero General Public License, version 3); and
- IronForge Commercial License (see
LICENSE-COMMERCIAL.md).
You grant Licensor the explicit right to distribute your Contribution under both licenses, and under any future version of either license, and to sublicense your Contribution as part of the Project to commercial licensees on commercial terms. Royalties or fees that Licensor may collect for such sublicensing are Licensor's sole property; you do not acquire any right to them by contributing.
You represent that:
- Each Contribution is your original creation, or where it
incorporates third-party material, that material is available under
a license compatible with AGPL-3.0, is clearly identified in the
Contribution (via inline comment,
NOTICEfile, or PR description), and you have the right to submit it under the terms of this Agreement. - You have the legal authority to enter into this Agreement. If your employer has rights to intellectual property you create, you have received permission to make the Contribution on behalf of that employer, or the employer has waived such rights in writing, or the employer has executed a separate Corporate CLA with Licensor.
- Your Contribution does not knowingly violate any applicable law or any third party's intellectual-property or other rights.
Licensor is not obligated to use, merge, or distribute your Contribution. Licensor may accept or reject any Contribution at its sole discretion.
You are not expected to provide support for your Contribution, except to the extent you choose. Your Contribution is provided "as is", without warranty or conditions of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.
You agree to notify Licensor in writing at licensing@structupath.ai if you become aware of any fact or circumstance that would make any of the representations in this Agreement inaccurate.
This Agreement is governed by the laws of the State of Washington, USA, without regard to its conflict-of-law principles. The exclusive venue for any dispute is the state or federal courts located in King County, Washington.
This Agreement constitutes the entire agreement between you and Licensor regarding Contributions to the Project and supersedes any prior understandings or agreements (written or oral) on the subject.
When you open a pull request against the IronForge repository, the CLA Assistant bot will post a comment asking you to confirm that you have read and agreed to this Agreement. Reply to that comment with exactly:
I have read the CLA Document and I hereby sign the CLA
Your signature is recorded against your GitHub handle and the commit SHA. You only need to sign once per handle.
If your contribution is made on behalf of a company, please email licensing@structupath.ai before opening the PR so we can execute a Corporate CLA.
